Any decision regarding the purchase or sale of Digital Assets is solely your decision, and we shall not be liable for any loss suffered as a consequence.

Availability / No Warranties. All services defined herein are provided without warranty of any kind, either express or implied, without implied warranties of merchantability and/or fitness for a particular purpose. We do not suggest that this Site or the Services, or the services of any third-party custodian, will be available 100% of the time to meet your needs. We will take all measures to provide you with the Services as soon as possible. We are unable to guarantee access will not be interrupted, or that there will be no delays, failures, errors, omissions, and/or loss of transmitted information. We will use reasonable efforts to be sure that you can access the Site and the related Services following these Terms of Service. However, we may suspend the use of the Site and the Services for maintenance, and we shall make all reasonable efforts to give you notice of this. You agree that this may be impossible in an emergency and that you accept the risks associated with the fact that you may not always be able to use the Site and the related Services or carry out urgent transactions using your Account.

10. Assignment. You and GEX are not legal partners or agents of each other; instead, our relationship to you is that of an independent contractor. This contract is solely for your and our benefit. It is not for the benefit of any other person, except for permitted successors. You may not assign or delegate these Terms, your obligations, rights, or responsibilities. Any attempt by you to do so is void.

GEX may assign or delegate these Terms, its obligations, rights and responsibilities, in whole or in part, at any time with or without notice to you.

11. External Websites &amp; Applications. GEX makes no representations of any External Websites that you may access through the Site, including third-party storage service providers’ websites. Sometimes a GEX website may contain links to External websites. We do not control the External Websites or third-party websites or any content contained therein. You agree that we do not carry any responsibility for External Websites, either referenced or linked to the GEX website, including but not limited to website content, policies, failures, promotions, products, opinions, advice, statements, prices, actions, advertisements, services, or actions and/or any damages, losses, failures, or problems caused by, associated with, or arising with these websites. You carry all the risks associated with using such content.

External websites have separate and independent Terms of Service and related policies. We ask you to review the policies, rules, and Terms and Conditions of each site when you visit it. It is up to you whether you take precautions to ensure that everything you have chosen for your use is free of viruses, worms, Trojan horses, and other elements of a destructive nature.

12. Fees. Current fees are available in our <a href="/pricing">Fee Schedule</a>.

GEX is authorized to change its Fees at any time and at its sole discretion. GEX will notify you of any changes in advance through your Account or via e-mail. It is your responsibility to review the amended Fee Schedule upon such notification. At the same time, your continued use of the Site following the posting of notice of Fee changes indicates that you accept and agree to the changes. GEX will not charge you any fees other than the GEX Fees and other fees set out in the Fee Schedule.

13. Taxes. Our fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, which may be assessed by any jurisdiction whatsoever (collectively, “Taxes”). You are responsible for paying all Taxes associated with your transactions.

14. Financial Regulation. Our business model and our Services facilitate the buying, selling, and trading of Digital Assets. According to the domestic law and regulations of the monitoring and filing bodies for financial institutions under the National Bank of Georgia and the LEPL-Financial Monitoring Service of Georgia, the services we provide are currently unregulated within Georgia.

Although GEX is currently unregulated and does not fall within the scope of relevant obligations, the senior management has implemented certain systems and procedures that meet the standards set forth by the European Union. This decision reflects the senior management's aspiration to follow current Financial regulations.

15. Intellectual Property Rights; Permissions &amp; Restrictions. Unless otherwise specified, all materials on this Site are GEX's property and are protected by trademark, copyright, and other applicable laws. You are allowed to explore or print and/or download a copy of the materials from GEX Site on any single computer solely for your personal, informational, and/or non-commercial use, provided you meet all copyright and other proprietary notices.

The logos, trademarks, and service marks of GEX and others used in this Site ("Trademarks") are the property of GEX and their respective owners. The software, graphics, text, images, data, prices, trades, charts, graphs, video, and audio used on this Site belong to GEX. The Trademarks and Material should not be modified, copied, reproduced, republished, uploaded, posted, transmitted, scraped, distributed or modified, in any form, whether automated or manual. The use of any such materials mentioned above on any other Site or networked computer environment for any other purpose is prohibited. Any such pirated use may breach copyright, trademark, and other applicable laws and could bring about criminal or civil penalties.

16. Limitation of Liability. To the extent permitted by law, GEX does not bear responsibility for any loss of profit, damages, loss of revenue, loss of data, loss of opportunity, loss of business, or indirect or consequential loss unless the loss arises from negligence, willful deceit or fraud. Nothing in these Terms of Service shall exclude or limit the liability of either party for death, fraud, or personal injury cased by negligence, which may not be limited or excluded by law. Although GEX makes all efforts to provide accurate and timely information on the Site, the Site may not always be entirely accurate, complete, or current, and may include errors. GEX may without notice change or update the Site at any time. Accordingly, all information must be independently verified by you before relying on it to make decisions or actions. You remain fully responsible for your decisions and actions. Subject to the above, you also agree and acknowledge that GEX has no liability or responsibility in respect of the custody of any Digital Assets.

Subject to the foregoing, GEX's total liability for the claims arising out of and/or in connection with any single Member's use of GEX, the Site, and/or the Services, whether in agreement, tort (including negligence), or otherwise, shall not exceed the greater of either:

(a) the total amount held on the Member Account who is the Claimant, less any Fee amount that should be paid in respect of such an Account; or

(b) 100% of the amount of the Transaction(s) that is the subject of the claim, less any Fee amount that should be paid in respect of such Transaction(s).

17. Force Majeure. We shall not be responsible for the services provided under this agreement if we are unable to perform any of Services outlined in the Terms of Service due to any reasons beyond our control, including but not limited to, an event of Force Majeure, change of law (including but not limited to the acts of any governmental body, agency, authority or official, actions of Banks, "Electronic Platforms" and other parties) or change in sanctions policy. We shall not be liable for the Services provided under this agreement during the time period coincident with the event.

18. Disputes &amp; Jurisdiction. This Terms of Service and its enforcement shall be governed by and construed pursuant to the laws of Georgia. Any legal action or proceeding related to this Terms of Service shall be brought to the Georgian Court of Arbitration, Dispute Resolution Center (DRC). The Parties irrevocably accept the exclusive jurisdiction of the aforesaid arbitrage court and hereby further irrevocably agree not to plead or claim in any other court.

19. AML Policy. Although GEX is currently unregulated and does not fall within the scope of the AML/CTF obligations, the senior management has implemented systems and procedures that meet the standards set forth by the European Union. This decision reflects the senior management's desire to prevent money laundering and not be used by criminals to launder proceeds of crime. Please see our <a href="/aml">AML Policy</a> for more information.

20. Data Protection &amp; Privacy. In addition to the Terms of Service you should also read our Privacy Policy, which is very important to GEX. Full details of the GEX Privacy Policy can be found at <a href="/privacy">Privacy Policy</a>. We strongly recommend that you read the Privacy Policy carefully so that you know the data that we collect, how we use the data, and with whom we share your data.

The General Data Protection Regulation (EU) 2016/679 (“GDPR”) is a regulation in EU law on data protection and privacy in the European Union (EU) and the European Economic Area. Along with the GDPR Requirements, GEX follows the Georgian Statute on Personal Data Protection as well as the GDPR Statute on the Activities of and Procedure for Discharge of Powers by the Personal Data Protection Inspector. In terms of disclosure, we may share your Personal Data with law enforcement, namely, domestic legal authorities, authorized financial institutions, data protection authorities, government officials, and other authorities when:

 	<li>Required by domestic law;</li>
 	<li>Compelled by subpoena, court order, or other legal procedures;</li>
 	<li>If disclosure is necessary for preventing damage or financial loss;</li>
 	<li>If it is necessary to disclose for reporting suspected illegal activity; and/or</li>
 	<li>If disclosure is necessary in order to investigate violations of our Terms of Service or Privacy Policy.</li>

We may share personal information with other financial institutions and with tax authorities, concerning US citizens who are GEX customers, as authorized under Section 314(b) of the US Patriot Act, including the US Internal Revenue Service, pursuant to the Foreign Account Tax Compliance Act ("FATCA"), to the extent that this statute may be determined to apply to these Services. For further information, please refer to the Privacy Policy on how we process your Personal Data.

21. Cookies. The GEX site uses cookies. Cookies are small text files hosted on your computer by the websites you visit. They are widely used to make websites work or work more efficiently, and to provide information to site owners.

You further confirm that you are aware of the many risks related to the use of these services and participation in transactions with cryptocurrencies, including but not limited to risks and financial loss, technology malfunctions (including problems with the blockchain technology), and hacking. GEX works hard at keeping systems and security up to date. However, various issues and risks still are inescapable. If such issues and/or problems arise with respect to your use of GEX's services, including technical difficulties with depositing or trading cryptocurrencies, it may take some period of time (days, weeks, months) to resolve. Some issues may not be resolved at all. By accepting these Terms of Service, you deliberately confirm that GEX is not responsible for the risks mentioned above, and you voluntarily assume and accept such risks in deciding to engage in cryptocurrency transactions on the GEX platform.
